Investment & joint venture

Projects are built as joint ventures.

ECI develops owner-operated plants and joint venture projects, contributing conversion technology, in-house fabrication and operating capability alongside partner capital. Chemcycle Co., Ltd. is one such joint venture. This page sets out how those projects are structured, drawn from ECI's own published material.

Please read first

The statements on this page are drawn from material previously published by ECI and by its joint venture Chemcycle. Some of it dates from earlier project stages and has not been restated. Project economics, returns and forecasts are not published here — they are issued to qualified counterparties under confidentiality. Nothing on this page is an offer of securities, an invitation to invest, or a promise of return.

Joint venture partner program

Partners fund the venture. Distributions follow the project.

ECI's Series 10 based joint venture partner program invites equity participants to collectively fund each venture. Every unit holder is entitled to a pro-rata share of ongoing operating profit distributions, aligned to the performance of that specific project.

01 / PARTICIPANTS

Who has come forward

ECI reports interest from Thai corporate groups, landfill site contractors, local government authorities and private investment parties.

02 / DISTRIBUTIONS

Pro-rata profit share

Unit holders receive distributions in proportion to their holding, tied to the operating performance of the specific project they funded.

03 / EXIT

Investment recovery

ECI states that an investment recovery strategy is in place should a funder seek, for any reason, to exit their position.

ECI's position

What ECI holds in every joint venture.

This is ECI's own description of its role. It is worth reading closely, because ECI sits on several sides of the same project at once.

Technology vendorECI or an affiliate entity supplies all technology required by the project.
Feedstock supplyECI is, in most instances, the supplier of waste plastic feedstock to the project.
Oil offtakeECI holds a first option to buy the oil output, at a price agreed in advance.
Project managementECI acts in the capacity of project manager.
EquityECI is a part owner of each project, holding a minimum of 50%.
DistributionsECI receives regular dividend payments from operating profit share distributions.

Chemcycle Co., Ltd.Bangkok. Converts mixed plastic waste into low-sulphur synthetic crude oil using a pyrolysis system developed in partnership with ECI Group Thailand, drawing on technical specialists from Thailand, Singapore, China and Germany. The synthetic crude is sent to an oil refinery and upgraded into fuels including gasoline, diesel and jet fuel, and can also re-enter production as a chemical feedstock for new plastics.
Korat, ThailandECI Thailand commenced commercial operation of its first joint venture project in May 2014 — a 10 TPD pyrolysis plant at the Centre of Excellence in Biomass, Suranaree University of Technology, in which ECI holds a 50% equity stake. The project was covered by Thai PBS and followed by a press conference attended by Ministry of Energy and local government officials, university representatives and national press.

Published programme

The Thailand build-out ECI has published.

A series of owner-operated pyrolysis facilities forming part of large-scale renewable energy joint ventures, with capital and technical input from strategic partners. Feedstock is drawn from company-run and contracted landfill sites and treatment depots across the country.

Feedstock, collectively800t / day

Waste plastic across the planned plant series.

Premium grade oil600,000L / day

Output from that feedstock volume, before refining.

Historic waste in scope7.5Mtonnes

Earmarked under current and planned Thai landfill site contract initiatives.

Theoretically recoverable3.0bnlitres

Oil recoverable over time from that waste, on ECI's published estimate.

ECI has also published that an eight-year company tax exemption is available to qualifying projects in the Thai context. Returns, margins and earnings estimates are deliberately not published on this page.

Group level

Beyond individual projects.

Cornerstone equityECI's owners have been reluctant to relinquish control to third-party venture capital at this stage, which leaves room for a high-net-worth cornerstone investor to take a reasonable equity interest in the Group.
Unlisted exitA holder may sell to existing equity holders, negotiate a buy-back with the Company, or introduce a third party onto the register.
Public listingA future listing by IPO or backdoor entry has been contemplated. Markets named are Singapore, Hong Kong and London.
Trade saleA sale to a listed or substantial private entity is a possible outcome if judged the best result for stakeholders.
Regional interestECI operates in Thailand, Singapore and Laos. Published markets of interest beyond include the Philippines, Indonesia, Vietnam and Cambodia. Systems are containerised for shipping from Bangkok.

What we ask you to test

The questions a serious partner should ask us.

We would rather you interrogate these before committing than discover them afterwards. Any promoter who tells you none of them apply is selling something.

Related-party termsECI is technology vendor, feedstock supplier, first-option oil buyer, project manager and majority owner of the same project. Ask how the feedstock price and the oil offtake price are set, and who on the JV side approves them.
Feedstock consistencyMixed waste varies daily, and yield moves with purity. Ask what specification is contracted and what happens when a load misses it.
Product specificationAsk which finished specification each cut actually meets, tested by whom, and what further refining a given offtaker requires.
Fuel price exposureRevenue tracks diesel and fuel oil pricing. Ask how the model behaves at the bottom of the cycle, not only at the top.
Permitting timelineApprovals sit on the critical path, and the regimes in Thailand, Singapore and Laos differ substantially. Ask which permits are held in which country, and what is still an application.
Uptime and maintenanceReactor duty is aggressive. Ask about turnaround intervals, consumable costs and realistic annual operating days.
